Contract drafting is one of the tools (but not the only one) to manage the risks of an international deal – including imprecise use of language and imperfect fit between different legal systems.

As a skilled craftsman chooses the correct tool for each job, a good transactional lawyer chooses from a set of tools to manage the risks of each deal. We tend to think first of the various parts of the contract, but our tool set also includes mechanisms to manage risk outside the contract documents themselves. This is especially true in a deal which crosses international borders, or one which involves a different language. This course covers the major areas where drafting and interpretation of an international contract can present risk, and strategies the international lawyer can use to handle the risk.
